• The Customer has been invoiced in connection with the M&S renewal term; and
• The Company has collected all M&S Fees that are due and payable under the initial invoice and the entire booked and collected amount is reflected in Softrax IDB or other subsequent tracking system.
For example, if a Customer enters into a contractually binding FY’20 agreement for an M&S renewal term with annual M&S Fees payable in quarterly installments over the renewal term, then once the Company has invoiced and collected the first quarterly payment and the M&S Fee that applies to the entire annual renewal term is reflected in the Softrax IDB system, the entire annual M&S Fee will be deemed to be Booked and Collected for the purposes of the End of Quarter Bookings Quota.
