Τηρουμένων οποιωνδήποτε οδηγιών περί του αντιθέτου που δυνατό να περιέχονται σε Ειδικό Ψήφισμα που εγκρίνεται σε Γενική Συνέλευση της Εταιρείας, όλες οι νέες μετοχές και/ή άλλες αξίες που παρέχουν δικαίωμα αγοράς μετοχών της Εταιρείας ή είναι μετατρέψιμες σε μετοχές της Εταιρείας, πριν την έκδοσή τους θα προσφέρονται στους μετόχους της Εταιρείας κατ΄ αναλογία (pro-rata) της συμμετοχής του κάθε μετόχου στο κεφάλαιο της Εταιρείας, σε συγκεκριμένη ημερομηνία που θα καθορίζεται από το Διοικητικό Συμβούλιο. Οποιαδήποτε τέτοια προσφορά θα γίνεται με γραπτή ειδοποίηση προς τους μετόχους στην οποία θα καθορίζεται ο αριθμός των μετοχών και/ή άλλων αξιών που παρέχουν δικαίωμα αγοράς μετοχών της Εταιρείας ή είναι μετατρέψιμες σε μετοχές της Εταιρείας, που δικαιούται να αποκτήσει ο μέτοχος και η χρονική περίοδος μέσα στην οποία η προσφορά, αν δεν γίνει αποδεκτή, θα θεωρείται ως απορριφθείσα. Αν μέχρι την εκπνοή της εν λόγω χρονικής περιόδου δεν ληφθεί γνωστοποίηση από το πρόσωπο προς το οποίο υποβάλλεται η προσφορά ή προς το οποίο έχουν εκχωρηθεί τα δικαιώματα, ότι τούτο αποδέχεται όλες ή μέρος των προσφερομένων μετοχών ή άλλων αξιών που παρέχουν δικαίωμα αγοράς μετοχών της Εταιρείας ή είναι μετατρέψιμες σε μετοχές της Εταιρείας, οι Διοικητικοί Σύμβουλοι μπορούν να διαθέσουν αυτές κατά τέτοιο τρόπο όπως αυτοί κρίνουν περισσότερο επωφελή για την Εταιρεία. Αν λόγω ανισότητας μεταξύ του αριθμού των υπό έκδοση μετοχών ή άλλων αξιών που παρέχουν δικαίωμα αγοράς μετοχών ή που είναι μετατρέψιμες σε μετοχές της Εταιρείας και του αριθμού των μετοχών που κατέχουν μέτοχοι δικαιούμενοι στη ρηθείσα προσφορά των νέων μετοχών και/ή άλλων αξιών, αναφύεται δυσκολία στη διανομή των νέων μετοχών και/ή άλλων αξιών μεταξύ των μετόχων, η δυσκολία αυτή θα επιλύεται με απόφαση του Διοικητικού Συμβουλίου εκτός αν υπάρχουν οδηγίες σε Γενική Συνέλευση περί του αντιθέτου.
Translation - English 1. Subject to any directions to the contrary that may be contained in a Special Resolution passed at the General Meeting of the Company, all new shares and/or other securities which give the right to purchase shares in the Company and/or which may be converted into shares in the Company, shall before issue be offered to the members of the Company in proportion (pro-rata) to the shares held by them on a date fixed by the Board of Directors. Such offer shall be made to the members by a notice in writing specifying the number of shares and/or other securities which give the right to purchase shares in the Company and/or which may be converted into shares in the Company, to which the member is entitled and limiting a time period within which the offer should be accepted, otherwise it will be deemed to be declined. If until the expiration of the said time period, no notification is received from the person to whom the offer was made or to whom the rights have been allotted, that he accepts all or any part of the offered shares or other securities which give the right to purchase shares in the Company or which may be converted into shares in the Company, the Directors may dispose of the same in such manner, as they may think most beneficial to the Company. If, owing to any inequality in the number of the new shares of the other securities which give the right to purchase shares in the Company or which may be converted into shares in the Company and the number of shares held by members entitled to have the offer of such new shares or such other new securities that give the right to purchase shares in the Company or which may be converted into shares in the Company, any difficulty shall arise in the apportionment of such new shares and/or other securities amongst the members, such difficulty, shall, in the absence of directions by the Company in General Meeting to the contrary, be determined by the Directors.
