AMHERST, MASS. & TOKYO (June 6, 2016) – The Chartered Alternative Investment Analyst (CAIA) Association, a global leader in alternative investment education, is today announcing the launch of CAIA Japan, the organization’s 27th worldwide Chapter.
CAIA Japan has been formed with the mission to bring together all of the key stakeholders in the Japanese alternative investment ecosystem, including CAIA Members, Candidates, educational institutions, and others, to facilitate the sharing of knowledge and the continued growth of the space in Japan, across Asia and beyond.
“Japan’s alternative investment community is both diverse and robust, and represents a tremendous concentration of knowledge and innovation,” said William J. Kelly, CEO of CAIA. “With CAIA Japan, we will work to bring all of those resources together to help facilitate dialogue, networking opportunities, and the further expansion of CAIA’s presence as an education resource for all of the country’s alternative investment professionals.”

Source text - English 1.14 Expenses and Administration Fees. In addition to the $500,000 Capital Contribution paid by each Class B Member, each Class B Member shall also pay a fee of $50,000 per Class B Unit (an “Administration Fee”), which shall not constitute a Capital Contribution. The $500,000 Capital Contribution shall be deposited by each Class B Member into an escrow account of the Company and the Administration Fee shall be deposited into a different escrow account of the Company. It is anticipated that the Administration Fee paid to the Manager will be used, in part, to pay for the following expenses for which the Manager will be responsible: (i) costs and expenses relating to the formation and continuity of existence and operation of the Company, including taxes, fees, and assessments associated therewith, any and all costs and expenses payable to personnel of the Company; (ii) costs and expenses associated with preparation and filing of any periodic or other reports and communications by the Company under federal, state, or local laws or regulations; (iii) costs and expenses associated with compliance by the Company with laws or regulations promulgated by any regulatory body, including the USCIS; and (iv) other operating or administrative costs of the Company incurred in the ordinary course of its business on behalf of or in connection with the Company. The payment of the Administration Fee into an escrow account different than the one into which the $500,000 Capital Contributions will be deposited is intended to assure that $500,000 of each Class B Member’s Subscription Price is a Capital Contribution to the Company and that it is available to the Company only for job-creating investments. No part of the Capital Contribution (as defined in Section 2.1) shall be used to pay Management Fees (as described in Section 8.4). The Manager shall be solely responsible for paying all of the Manager’s day-to-day operating and administrative expenses, including overhead and compensation of employees, employment taxes, and except as expressly contemplated herein, the Manager shall not be entitled to additional reimbursements from the Company or its Members. Under no circumstances shall it be construed that the Company or the Manager has any obligation to file any immigration petition or application on behalf of a Class B Member. It is contemplated that each Class B Member will retain his or her independent counsel in connection with the submission of such Class B Member’s application for classification as an alien entrepreneur. In no event will any portion of the Administration Fee be used to pay the fees of any Class Member’s legal counsel.

1.5 Principal Purpose and Powers. The Company was organized to engage in EB-5 investments in the United States. In accordance with the terms and provisions of the loan agreements and ancillary documents associated therewith (the “Loan”), the proceeds of such Loan will be loaned to PH Portland Jefferson Holding, LLC, a Nevada limited liability company, to be contributed to its subsidiary PH Portland Jefferson, LLC, a Nevada limited liability company, for the development, improvement, and construction of a mixed-use, 15-story project with 196 residential rental units and approximately 14,500 square feet of retail space, located in Portland, Multnomah County, Oregon (the “Project”), and for other activities related to the Project. The Company will fund the Loan through Capital Contributions made by Class B Members. The Immigrant Investor Program allows Class B Members to seek conditional lawful permanent residence in the United States, along with their spouse and unmarried minor children under age 21, as applicable. The Company was also organized to enter into contracts and agreements and to engage in any and all activities necessary, incidental, or related to any of the foregoing, all on the terms and conditions determined by the Manager. The Company is an ongoing business engaged in making one or more commercial loans or investments to job-creating projects located in targeted employment areas within the focus of an EB-5 regional center. Initially, the Company will make the Loan to the Borrower, which will thereafter contribute such funds of the Loan to PH Portland Jefferson, LLC. Any additional or subsequent venture, other than the Loan, shall require the consent of all Class B Members. The Company shall have and exercise all powers and rights conferred upon a limited liability company by the Act, and all powers and rights as are necessary, suitable, proper, convenient, or expedient for the attainment of the purposes set forth in the preceding sentences.

2.4 Resignation and Refund. Except as provided in this Agreement, a Class B Member shall not resign and withdraw from the Company prior to the dissolution and winding up of the Company at any time subsequent to approval of his or her I-526 petition by the USCIS nor at any time prior to the dissolution and winding up of the Company in accordance with Article 13. Under no circumstances subsequent to approval of his or her I-526 petition by the USCIS and granting of an EB-5 immigrant visa by the U.S. Department of State, shall any Class B Member seeking to resign be allowed to or have any expectation for any repayment of any portion of his or her Capital Contribution. As such, no Class B Member seeking to resign shall have any right to require the Company to redeem or for the other Members to purchase his or her Class B Unit. Any withdrawing Class B Member shall pay all expenses incurred by the Company in connection with any withdrawal.
Notwithstanding the foregoing, subject to the Refund Limitations Paragraph (as defined below) and the Project Cancelation/Termination Limitations Paragraph (as defined below), in the event a Class B Member’s subscription to the offering is rejected (not due to any termination or cancelation of the offering by the Company or the conditions necessary to close the offering not being satisfied or waived), which rejection is only permitted prior to the time of such Class B Member’s filing of his/her I-526 petition, if the offering is terminated or canceled, in the event the conditions necessary to close the offering are not satisfied or waived, or if USCIS denies a Class B Member’s I-526 petition for any reason (other than based on fraud, misrepresentation, or any other factor within such Class B Member’s control), such Class B Member’s $500,000 Capital Contribution and Administration Fee shall be returned to such Class B Member without interest or deduction within thirty (30) days of such event; provided, however, that the Company shall only return to such Class B Member such Class B Member’s Administration Fee to the extent funds are available. If USCIS denies a Class B Member’s I-526 petition based on fraud, misrepresentation, or any other factor within such Class B Member’s control, subject to the Refund Limitations Paragraph and the Project Cancelation/Termination Limitations Paragraph, such Class B Member’s $500,000 Capital Contribution shall be returned to such Class B Member within fifteen (15) days of such event but such Class B Member’s Administration Fee shall not be returned to such Class Be Member and the Manager will retain the entire amount of such Class B Member’s Administration Fee (this entire paragraph being referred to hereinafter as the “Refund Conditions Paragraph”).
