Comment: "I agree with director or manager under the articles of association. I just wondered if anyone had any magical and shorter rendering although I can't imagine one. I would be unhappy with 'managing director' tout simple or even with 'under the AofA' because I think of the MD as something a business organisation has one of, whereas I imagine there could be a number of statutaire bestuurders. "

: statutory in EN implies under a statute. legislation, law etc - the appointment here has been made under the Articles of Association, this specific entry in dK is wrong// no, tone deaf on that entry, keep well :)

bestuurder = manager, administrator, director
Because "bestuurder" is a general term and does not specify a specific function, I would prefer an equally general translation.
Although it is tempting to use "statutory" , this term rather refers to the law unless, of course, the law stipulates how this functionary should be appointed and the appointment was based solely on it.
However, "statutair" refers to "statuten" = articles of association
