Unfortunately I'm no financial expert either, but that's what it seems to be saying. That glossary seems quite good doesn't it, I just came across it by chance.

This is more US usage, for UK 'new equity' is 'capital increase'. 'Extinguishment of current account debt in return for share capital' is also correct for UK (I think).
Essentially one of the partners has loaned the company money. Instead of paying him back in cash, they are giving him equity in the company.
There is some ambiguity here. Who are the minutes for, the company with the new equity, or a bank or law office that is involved?

: "forgiveness" usually implies NO consideration. This is a swap of equity for debt.

offsetting of a shareholder's current account debt
OK, only 12 years after the fact. Fairly obvious I'd have thought, when "compensation" is understood as "offsetting". In other words the debt in the current account is transformed into equity which has not yet been paid up but which increases the company's equity value.
