Some companies also have classes of share that have fewer rights than ordinary shares, most commonly non-voting shares, but there are also various types of deferred shares. These are typically entitled to the same share of profits as ordinary shares, but do not give the shareholder who holds one any voting rights. Again, these are becoming less common.

voting control
Different classes of stock may have different rights as to the "economic incidents" of stock ownership, such as a right to dividends, or the "management incidents" of ownership such as voting rights. [Stroh v Blackhawk Holding Co] (holding that class of shares with voting rights but no dividend rights was still "stock" under state law, which defined shares as division of "proprietary interest").
Shareholders hold voting rights because they only control the residual value of the corporation; voting thus allows shareholders to influence managers' behavior, given that they lack the detailed contractual remedies of creditors. Persons who hold more voting rights than economic rights could effectively demand holdout payments from the persons with economic investments by threatening to mismanage the firm that they control. Likewise, persons holding voting control could mismanage the firm in order to drive the price down, make the firm cheaper, and gain economic control themselves.Note that any number of devices (from loan covenants to voting trusts) can give this power to other investors, including creditors and preferred stockholders.

Aunque cuotas y acciones son prácticamente lo mismo, la diferencia básica es que las cuotas no otorgan derechos políticos, es decir, que el propietario de cuotas participativas no se convierte en propietario de la caja. Sólo otorgan derechos económicos (cobrar la retribución derivada de las mismas, en su caso). Por su parte, las acciones otorgan derechos económicos y políticos (pueden ejercer su derecho a votar en las juntas de accionistas y discutir la estrategia de la empresa o banco).

Las cuotas participativas son el equivalente para las cajas de las acciones preferentes que emiten algunas empresas: Participaciones en los beneficios de la entidad, pero sin derecho a voto. La razón de emitir cuotas participativas es que en las cajas, los miembros de su consejo de administración se nombran de acuerdo a lo indicado en sus estatutos, y no de acuerdo a lo que libremente decidan sus dueños.
Las cuotas participativas disfrutan de derechos económicos, eufemismo que significa que las cuotas participativas cobran el dividendo. Y como todos sabemos, el dividendo está sujeto a la obtención de beneficios y dependerá del pay-out que quiera ofrecer el consejo de administración; pero en general, si la empresa o caja no tienen problemas, tienden a pagarse todos los años y a crecer un poco cada año, lo que hace que la rentabilidad de las cuotas participativas tiende a ser creciente, vía incrementos del dividendo.
El "inconveniente" de las cuotas participativas es que no tienen derechos políticos, eufemismo que significa que las cuotas participativas no tienen derecho a voto, a diferencia de las acciones normales.
