Not necessarily that they be recorded. The minutes could say that the resolution was passed by a majority of votes counted. They need not necessarily record the exact count.

quorom is required

like in an interested party transaction you need a higher number of BoD members who are interested to have enough independent votes to make the decision.
Example sentence:

Absent the quorom set in the bylaws the meeting had to be re-scheduled since there were not enough voters present to reach the type of decision on the agenda.
