English term

landlord corporation

English to French Bus/Financial Real Estate
Est-ce que le terme "société coopérative" peut convenir ici, svp ?

I direct that all of my tangible personal property and all of my real property, wherever situated (including any cooperative apartment or condominium that I may own at the time of my death, including all right, title and interest in and to any proprietary lease and, with respect to a cooperative apartment, any and all shares of stock or other interest in the landlord corporation)

Merci pour votre aide.

Daryo, no time. go for it.
Daryo Jun 17, 2016:
une nuance ... the landlord corporation = owns the whole building
vs
syndicat de (co)propriétaires = an entity in charge of property management, doesn't own one single brick of the building

@Germaine: you got there first, would you post "la société propriétaire" as your answer?
Odile Raymond (asker) Jun 17, 2016:
Bonjour, Germaine, merci pour ton vote !
Germaine Jun 17, 2016:
Odile, Comme on parle de "parts du capital ou autres participations..." je vote pour "...dans la société propriétaire" - comme le laisse entendre, par exemple, cette source:

société propriétaire

landlord corporation = the corporation that owns the whole of the building/cooperative

members of the cooperative own shares in this corporation /not their apartments - they only have "the right to occupy"/

The reasoning follows that because each shareholder in a cooperative must lease his or her unit from the landlord corporation, rather than owning the unit outright, the owner shareholders of the shares are in the same position as a traditional rental tenant.

2. The legal form of housing cooperatives

In general, a housing cooperative is "a corporate or business trust entity holding title to the premises and granting rights of occupancy to particular apartments by means of proprietary leases or similar arrangement." [note 21]
A cooperative housing development may take one of three legal forms:[note 22]
(1) co-ownership, [note 23]
(2) the trust form, [note 24] or
(3) the corporate form. [note 25]

The corporate form is by far the most convenient and common ...

[note 21]. 1 ROHAN & RESKIN, CONDOMINIUM LAW AND PRA~ICE § 1.01[2] (1975) [hereinafter cited as ROHAN & RESKIN]. The form of lease used by the corporation for this purpose is called a 'proprietary lease.' A proprietary lease, is, in fact, a lease and not any other variety of 'ownership document.' It is similar to an ordinary apartment lease, except that it is reasonable and except for certain provisions peculiar to the tenant shareholder relationship with the cooperative-landlord corporation. See Goldstein, supra note 7, at 81.

[note 25]. In this form, a corporation is organized by the promoter who acquires the buildings and the land; shares of the corporation are then sold to the prospective occupant who receives a proprietary lease for a specific apartment. 2 ROHAN & RESKIN § 2.01[4] (1974); Comment, A Survey of the Legal Aspects of Cooperative Apartment Ownership, 16 U. disagree Daryo : if you compare what is "a landlord corporation" and "un syndicat de (co)propriétaires" you'll find that they not quite the same thing.
