El artículo 17 del Decreto 2460 de 2013, señala que "la cancelación de la inscripción en el registro único tributario procede": 1) A solicitud de parte: a) Por Liquidación, fusión o escisión de la persona jurídica o asimiliada." Por motivos expuestos procede la cancelación del registro.

Esta vez mi consulta obedece a que "liquidar/liquidación" en el ambito legal tiene un significado bastante amplio pues puede incluir:

a. el pago de un monto,
b. La disolución de una entidad

De igual forma ocurre con mi consulta anterior referente a cancelación, puesto que se puede estar abordande desde un punto de vista financiero (pago) o del mero acto de dejar sin efecto algo.

Sé que son muchas interrogantes pero me gustaría estar segura al respecto.

@Robin You posit that the text is referring to the decision to dissolve, whereas I'm saying it refers to the finalization of the liquidation process. The ST clearly says "la sociedad se encuentra debidamente liquidada mediante Acta No. 123 del mm-dd-aa en Asamblea de Fundadores". As I see it, this means it actually has been and is now liquidated (as the "acta" in question shows) meaning that it can now be dissolved, which is why they have applied to the companies register for the cancellation. The ST is actually the decision regarding this application.
To reiterate, the dissolution can only actually occur after the cancellation, which is in effect permission from the authorities to dissolve the company.

In the case of the UK, for example, the process according to my previous reference is:

A company can be dissolved voluntarily, to do this the directors simply need to complete the ‘DS01 - Striking off application by a company’ and make a £10 payment to Companies House.

@Robert Yes, both liquidation and dissolution exist in both languages, with the same subtly distinct meanings. And are commonly used interchangeably in their respective languages.

But, regardless of which of those interchangeable words the author used in Spanish, "Acta 123" clearly refers to the 2nd of the 3 steps in the process: liquidation – dissolution – cancellation of registration.

'Dissolution' is the quasi-instantaneous consequence of a single decision taken by the assembly (recorded in the "Acta"), to terminate the activities of a business that has, from an accounting viewpoint, already been "wound up" (liquidated).

If the ST were referring to the liquidation process – which may take weeks or months to complete (and must be completed before the dissolution) – then I would agree that it would be talking about the liquidation. But it doesn't – it refers to a single decision taken at a defined and no doubt very brief moment in time (during the assembly held on the stated date).

Note also that the ST indicates that the "Acta 123" is followed directly by the cancellation of the registration. So, again, it must be referring to the dissolution, not the prior liquidation.

Dissolution vs Liquidation Having translated many articles of association/incorporation and minutes of meetings, I can confirm these are two similar yet different concepts, distinguishable in both Spanish (disolución/liquidación) and English. As a matter of timing, the dissolution cannot take place until the registration is cancelled. So the process is:

Liquidation > cancellation of registration > dissolution

Dissolution

This means the end of the company as a legal entity. A company can be dissolved voluntarily... Alternatively a company can be dissolved involuntarily for ‘non-compliance’ by Companies House.

Liquidation, also known as… winding up

Liquidation is when the assets of the company are broken down and redistributed to the shareholders and creditors (A person or company who is owed money) - the latter only being relevant if there are any.

Liquidation is actually a stage of the company dissolution, wikipedia put this best: “dissolution technically refers to the last stage of liquidation”.

Yes, in this case it refers "liquidation".
As for "Acta", hard to say exactly what is meant - could be the minutes of the "Asamblea de Fundadores" or a notarial instrument.
I'd go for "instrument" here (assuming this is for the US, otherwise it's "deed") as that is probably what the number refers to.

liquidación refers here to the 'dissolution' (closing down, in plain English) of the Foundation. Acta No 123 refers to a decision recorded in the minutes of the meeting of the Assembly where the decision to liquidate/dissolve was taken. We’d need more context to determine whether 123 is an individual decision number or an Assembly session number. Those minutes will then have been reducido a escritura pública (notarised) prior to registration for the public record, as noted in inscrita en la camara de comercio el mm-dd-aa bajo el número 1234 del libro 12 de las entidades sin animos de lucro.
