"3.4 Contractors
The Purchaser acknowledges that certain operational contracts with third party contractors who supply goods and services to Repsol in relation to the operations in the Contract Area and other assets and facilities held Repsol in Perú may still be in force at Closing. Such operational contracts shall be transferred to Purchaser or terminated by the Seller, at Purchaser's request, at Closing.
3.5 ***Time Writing***
During the Interim Period, Seller shall not charge Purchaser for Purchaser's share of amounts attributable to the Seller Interest in excess of three hundred thousand Dollars (US$300,000) per calendar month for time-writing allocated employee charges without the prior written approval of Purchaser."
