LIMITATION OF GUARANTOR’S LIABILITY
Context:
LIMITATION OF GUARANTOR’S LIABILITY
5.1 Guarantor’s Notice of No Further Coverage
Where:
any Seller Default (as defined in the PPA) or Concessionaire Default (as defined in the Concession Agreement) arises under Article 20.2 (Manquement du Fournisseur) of the PPA or Article 19.2 of the Concession Agreement respectively, and in each case, a Termination Notice has been issued by Member Country or EDM in connection with such Seller Default or Concessionaire Default (as the case may be); or
the Beneficiary fails to comply with any of its material obligations under this Agreement, and any such failure continues for a period of thirty (30) days after the earlier of (A) the date on which the Guarantor notifies the Beneficiary of that failure and (B) the date on which the Beneficiary becomes aware of such failure;
the Guarantor may, by written notice to the Beneficiary (a “Limitation Notice”), inform the Beneficiary that, unless and until the Guarantor issues a Revocation Notice, as defined in Clause 5.2 (Revocation), no invoiced but unpaid amounts referred to in Clause 2.1 (The Guarantee) or Guaranteed Termination Payment acknowledged or finally determined to be due and payable in accordance with Clause 2.1 (The Guarantee) after the effective date of the Limitation Notice will be covered by this Agreement.
So the main idea is that: after the effective date of the limitation notice "no invoiced but unpaid amounts will be covered by this Agreement".
I of course understand the meaning of the term but am struggling to find an appropriate translation of this term.
I look forward to reading your suggestions.
