"(a) Shipment of Materials: Licensee shall be responsible for and shall pay any and all shipping, handling and insurance charges, and all applicable customs fees and duties, relating to the shipment of the Materials to and from Fox's Agent. The Materials will be shipped to Licensee upon the later of (i) Fox's Agent's receipt of this License signed by Licensee; and (ii) Fox's Agent's receipt of the License Fee. Unless Licensee notifies Fox's Agent of any discrepancies within three (3) days of receipt of the Materials, Fox's Agent's count will be accepted as accurate."
