English to Polish Law/Patents Law: Contract(s)

Mam tu niemal wzorcową wersję frazy, która tak często sprawia wiele kłopotów, zwłaszcza mniej doświadczonym tłumaczom.
Proponuję pokusić się o sporządzenie wspólnymi siłami "wzorcowego" tłumaczenia, które zostanie zapisane w glosariuszu, ku ogólnemu pożytkowi:

You shall indemnify and hold harmless XYZ and its licensors against any and all loss, damage, liability or expense (including legal expenses, incurred in or out of court, the latter in as far as such court expense exceed any amount awarded by the relevant court) suffered or incurred by XYZ or its licensors arising out of or in connection with any breach by you of this Agreement or any associated addendum or collateral contract, or any infringement by you of any intellectual property rights, or the negligence or willful act or omission of you or any of your employees, agents or contractors.

Oczywiście propozycje powinny obejmować tłumaczenie całej frazy - dla porządku.
