WHEREAS, the Borrower has applied to the Bank for a loan in the principal amount of $LOAN AMOUNT (the “Loan”) to finance a portion of the cost of the Equipment and for the payment of the EXIMBANK Exposure Fee pursuant to Section 9.3 hereof, which Loan is to be made in multiple advances all of which shall be evidenced by a single promissory note in the maximum principal amount of the Loan in substantially the form attached hereto as Exhibit A and made a part hereof (the “Promissory Note”), which shall be guaranteed by the Guarantor pursuant to an endorsement of the Promissory Note, and which will be guaranteed by the Export-Import Bank of the United States (“EXIMBANK”) under its Master Guarantee Agreement (Medium Term Credits – Electronic Compliance Program) dated March 29, 2001 with the Bank (the “EXIMBANK Guaranty”)
