Italian term

costituente

Italian to English Law/Patents Law: Contract(s)
Il capitale sociale è fissato in Euro 100.000,00 (centomila virgola zero zero) interamente sottoscritto dal **costituente**.
Si tratta di una atto notarile di costituzione di una srl.
E' chiaro che si tratta di chi sta costituendo la società, in questo caso il socio unico e amministratore unico di una SRL, ma come rendo il senso di costituente?
Ho trovato il termine "incorporator" ma temo indichi un terzo/terza azienda differente dalla stessa SRL
Potrei invece tradurlo come "incorporating party"?

promoter or incorporator ; partnership > founder

The UK company-promoter penny has finally 'dropped'. Both promoter and incorporator are used in the USA: Barron's US Am. Law Dictionary,

Otherwise, the term - also in all other Romance lingos - often translates well as appointor or settlor > AmE trustor.
Example sentence:

The meaning of promoter is not defined by statute. Generally, any person who plays a major part in forming a company or establishing its business (usually the prospective owners or directors of the company).

A business needs to be incorporated if it is to be established as a corporation. An incorporator, also called a promoter, is the individual, corporation or association responsible for the process

Italian term (edited): costitutente

company under incorporation

There are various ways to say this using different verbs: company being formed; company being established; company under formation. Please remenber that an srl is a company limited by quota shares and not shares as in a S.p.A.

incorporator/incorporating member
Note from asker:
your answer is valid but in reality the original text use the masuline, thus intending the person who is incorporating the company. do you have a suggestion for a more "personal" term? THX
thank you for confirming incorporator

agree philgoddard : Your first answer is incorrect in my opinion - the company can't subscribe its own shares - but the later one works.
