CLAUSE 1 – PURPOSE & LICENCE
1.1 These Terms will apply as between EA and Customer to all sales of EA Codes to Customer by EA and the resale of such EA Codes to End-Customers in the Territory.
Under no circumstances shall these Terms be construed or interpreted as an exclusive dealing agreement by either party, and nothing in these Terms shall be construed as to restrict either party from entering into any agreement with a third party, even if similar to or competitive with the transactions contemplated hereunder.
1.1 The Customer understands and agrees that EA shall:
(i) process, issue and authenticate EA Codes in connection with Customer’s (as applicable) distribution and sale of EA Digital Products and Entitlements; (ii) at its election, require End-Customers to download certain software to enhance the delivery of the EA Digital Product and register with EA by creating user account(s) in order to access EA Services or download an EA Digital Product and/or redeem Entitlements; and (iii) following successful authentication of an EA Code either make available the corresponding EA Digital Product for download by the End-Customer or update the End-Customers user account for the relevant EA Service or EA Digital Product with the corresponding Entitlement.
