This COMPLETION AGREEMENT-IPR for the sale/purchase of such right title and interest as X may have in the IPR assets of the X (the Agreement) is made in Frankfurt, Germany on the 31st day of July 2003
BETWEEN:

Individually the Party and collectively the Parties.
RECITALS:
I. Pursuant to a Resolution Number 44/2003 agreed at a meeting of the Board of Creditors of X held on the 6 March 2003, the public tender (the Tender) for the X IPR (IPR) for the price of not less than USD 4,000,000 (four million US dollars) was published on the 19 March 2003 and was closed on the 2 April 2003.
WHEREAS:
1. X submitted an Offer dated the 2 April 2003 (and an amendment dated 8 April 2003) for the right, title and interest of the X IPR assets owned by X (and also a separate but related offer for selected X M&E Assets owned by X). The Offer was in accordance with the public tender announcement and the Tender Procedure and Regulations and the Tender Deposit of USD 100 thousand was paid into an agreed escrow account in Lublin.
2. The X Offer was for the sum of USD 4 million (four million US dollars) to be paid less the Tender Deposit on the Completion date.
3. On behalf of X a sub-committee of the Board of Creditors met on the 9 April 2003 and unanimously agreed to accept the Offer dated 2 April 2003 (and the amendment dated 8 April 2003) submitted by X in respect of the X IPR and signed the Form of Acceptance which concluded a legally binding contract between the Parties. If X subsequently fails for any reason to complete on the Completion date the X Tender Deposit is non-refundable.
SUMMARY OF AGREEMENT BETWEEN THE PARTIES:
1. Introduction:
The parties acknowledge and agree that the terms upon which X has agreed to sell and X has agreed to purchase the X IPR Assets are fully set out in the X Offer for the X IPR Assets dated the 2 April 2003 (and an amendment dated 8 April 2003). This Completion Agreement is intended only to confirm such terms and, therefore, to the extent (if any) that the terms of this Completion Agreement conflict with the terms of the X Offer for the X IPR Assets the terms of the X Offer will prevail.
2. Assets being sold/acquired:
(a) The IPR assets (the IPR) being acquired by X are the X Project IPR assets owned by X that were to be utilised in or associated with the product development of the X new delivery van programme. The detailed list of the IPR assets to be acquired is as attached as Schedule 3 to the X Offer dated 2 April 2003.
(b) The IPR is sold in its ‘as is’ condition and at its current locations. X is responsible for all the costs associated with the collection and shipment of the IPR including any disassembly, packing, loading and transportation. The risk in respect of the IPR passes to X on and with effect from the Completion date.
(c) For a period of 6 (six) months from the acceptance date (9 April 2003) of the X Offer but no later than the 9 October 2003, X shall secure and store without charge to X the IPR stored at the X premises in Lublin
(d) Following Completion X may collect at its own cost and have full use of the IPR to be acquired.
(e) For the avoidance of doubt the Offer from X and the Form of Acceptance by X is for the acquisition of all right title and interest that X has in the in the IPR, including such interest as X or X may have had, but X recognises that third parties may also have an interest in some of the IPR which clearly is not included in the X Offer. The X Offer also includes any right title and interest that X has in the X Project IPR assets.
(f) The X IPR Assets being acquired by X does not include the IPR of potential X associated parts and components that is owned by suppliers including the IPR of the engine developed by X SpA of Italy.
3. X Offer for the IPR:
(a) For the acquisition of the IPR, the X Offer was USD 4 million (four million US dollars) and this Offer was accepted by X on the 9 April 2003 payable as:
i. The IPR Tender Deposit of USD 100 thousand (one hundred thousand US dollars) and which was released from the designated escrow account to X on the 29 April 2003.
ii. The sum of USD 3.9 million (three million nine hundred thousand US dollars) which is to be paid to X on the Completion date.
4. X – Other Commitments:
(a) X agrees that X shall retain a non-exclusive licence at no cost to X to produce assemble and sell the X finished products including derivatives in Poland from KD sets supplied by X and X hereby expresses its readiness to co-operate in that respect. This is to be defined in a separate agreement.
(b) X and X will use their respective reasonable endeavours to agree in good faith the terms and conditions for such a licence as soon as reasonably practicable following Completion but no later than three months from the Completion Date.
(c) The success or failure of any such arrangement shall not affect each party’s obligation to Complete on the Completion date.
5. X Commitments:
Following Completion X will:
(a) Provide reasonable assistance to X in obtaining the IPR from all parties who may have the IPR or any part thereof in their possession, and
(b) Provide to X or issue as appropriate the following documents or authorities copies of which are attached for ease of reference to this Agreement:
i. Letter from X to all X suppliers notifying them of the change of ownership of the X programme and the associated assets.
ii. The IPR as defined in Schedule 3 attached to the X Offer dated 2 April 2003.
6. WARRANTIES & PROVISIONS:
(a) The Receiver of X warrants and represents that he has full and unrestricted authority to offer for sale and to sell the IPR on behalf of X Sp. z o.o (in Receivership) and that such IPR has been unconditionally released by the Board of Creditors of X Sp. z o.o (in Receivership) from all charges and encumbrances in Poland and others of which they are aware.
(b) Without prejudice to clause 6 (a) X acknowledges for the avoidance of doubt that if X does not have title or unencumbered title to any or all of the IPR this will not be a ground or grounds for rescinding avoiding or varying any or all of the provisions hereof and X will not be entitled to any refund of the X Offer amount in whole or in part or any compensation or damages in respect of same.
(c) X acknowledges that if it fails for any reason to complete on the Completion date X will be entitled to retain the IPR Tender Deposit and X acknowledges that X’s total liability to X will not exceed the amount of the IPR Tender Deposit.
(d) X acknowledges that X shall not be obliged to Complete this Agreement for the purchase of the IPR unless the Agreement for the X purchase of the X owned selected X M&E assets from X also is completed on the Completion date.
(e) X acknowledges that all representations, warranty, guarantees of fitness for any particular purpose or completeness in respect of the IPR or any part thereof are expressly excluded and that the IPR is sold ‘as is’ in its current locations.
7. COMPLETION:
(a) Completion of the sale and purchase of the IPR shall take place in Frankfurt, Germany on Thursday the 31 July 2003 the Completion date and the appropriate documents or authorities listed in Article 5 (b) above will be issued on that date or no later than within 5 (five) calendar days from the Completion date.
(b) Mr. will sign this Agreement on behalf of X with the authority vested in him by the Lublin District Court VIII Economic Department and the X Board of Creditors.
8. DISBURSEMENTS:
(a) The agreed total amount due from X for the acquisition of the IPR is USD 4 million (four million US dollars) less the Tender Deposit payable in full on Completion.
(b) Thus the amount due to be paid by X upon Completion is USD 3.9 million (three million nine hundred thousand US dollars) and this amount shall be paid on the Completion date to the account of X. (Bank account details to be advised).
(c) X will issue to X the invoices for the sale of the assets to X in the appropriate form and X authorises X to issue such invoices without the signature of X.
9. EXPENSES & CHARGES:
(a) All amounts expressed in this Agreement as being payable by X to X are exclusive of any and all value added tax and any other applicable sales tax or duty that may be chargeable. X agrees to pay any taxes that are properly payable that arise on the sale and export of the IPR such as valued added tax, customs duties, sales and stamp duties. X shall not be responsible for the payment of any Corporation Tax or any other Income Taxes that may be levied on X as a consequence of the sale of the IPR.
(b) X agrees to reimburse X in respect of its reasonable actual costs incurred in the production and completion of all documentation relating to the X Offer and this agreement subject to a maximum of USD 15,000 (fifteen thousand US dollars) provided that such costs are proved to be directly related to the sale and purchase of the IPR
10. GOVERNING LAW & JURISDICTION:
(a) This Agreement is governed and construed in accordance with and by the Laws of Poland and is in two copies produced in the English and Polish languages. The Polish language shall prevail in the event of any discrepancies between the two languages.
(b) The Court of Arbitration at the Polish Chamber of Commerce in Warsaw according to the rules of that Court shall finally settle any dispute between the Parties that cannot be settled by mutual agreement, unless such dispute relates to bankruptcy proceedings or are subordinated to the bankruptcy court.
AS WITNESS this Agreement is signed below by the duly authorised representatives of the Parties on the date mentioned on the first page of this Agreement.
Niniejsza UMOWA FINALIZUJĄCA sprzedaży / kupna wszelkich praw, które X może posiadać w stosunku do aktywów praw własności intelektualnej (IPR) do projektu X (Umowa), została zawarta we Frankfurcie, Niemcy, dnia 31 lipca 2003
POMIĘDZY:

Dalej łącznie zwanymi Stronami bądź z osobna Stroną.
PREAMBUŁA:
I. Zgodnie z Uchwałą Nr 44/2003, podjętą na posiedzeniu Rady Wierzycieli X w dniu 6 marca 2003, przetarg nieograniczony (Przetarg) na IPR do X (IPR) za cenę nie niższą niż 4.000.000 USD (cztery miliony dolarów amerykańskich) został ogłoszony dnia 19 marca 2003 roku oraz zamknięty dnia 2 kwietnia 2003.
ZWAŻYWSZY, ŻE:
1. X złożyła Ofertę w dniu 2 kwietnia 2003 (i jej korektę w dniu 8 kwietnia 2003) na wszelkie prawa w stosunku do aktywów IPR należących do X (jak również oddzielną, ale związaną z nią, Ofertę na wybrane aktywa M&E do X należące do X). Oferta była zgodna z ogłoszeniem o przetargu nieograniczonym oraz z Regulaminem Przetargu, a X wpłaciła wadium w wysokości 100 tysięcy USD na uzgodniony rachunek powierniczy w Lublinie.
2. Oferta X opiewała na kwotę 4 milionów USD (cztery miliony dolarów amerykańskich), płatne po pomniejszeniu o wadium w dniu Finalizacji.
3. W imieniu X, podkomisja Rady Wierzycieli spotkała się dnia 9 kwietnia 2003, i jednogłośnie zgodziła się zaakceptować Ofertę z dnia 2 kwietnia 2003 (i jej korektę z dnia 8 kwietnia 2003) złożoną przez X w zakresie IPR oraz podpisała Formularz Akceptacji, co spowodowało zawarcie prawnie wiążącej umowy pomiędzy Stronami. Jeżeli X z jakiegoś powodu nie doprowadzi do Finalizacji z datą Finalizacji, to wadium wniesione przez X nie zostanie zwrócone.
PODSUMOWANIE UMOWY POMIĘDZY STRONAMI:
1. Wprowadzenie:
Strony potwierdzają i zgadzają się, że warunki, na których X zgodziła się sprzedać IPR projektu X, a X je nabyć, są w pełni określone w Ofercie X na aktywa IPR projektu X z dnia 2 kwietnia 2003 (i jej korekcie a dnia 8 kwietnia 2003). Niniejsza Umowa Finalizacyjna ma na celu jedynie potwierdzenie tych warunków i dlatego, jeżeli któryś z warunków niniejszej Umowy Finalizacyjnej okaże się sprzeczny z warunkami Oferty X na aktywa IPR projektu X, to warunki z Oferty X będą rozstrzygające w tym zakresie.
2. Aktywa sprzedane / nabyte:
(a) Aktywa IPR (IPR), nabyte przez X to aktywa IPR projektu X należące do X, które miały być wykorzystane w rozwoju lub dotyczą rozwoju produktu w programie produkcji nowego samochodu dostawczego X. Szczegółowa lista tych aktywów IPR stanowi Załącznik 3 do Oferty X z dnia 2 kwietnia 2003r.
(b) IPR są sprzedane w stanie ‘jak jest’ oraz w ich bieżącej lokalizacji. X jest odpowiedzialna za wszelkie koszty związane z odbiorem i wysyłką IPR, włącznie z ich demontażem, pakowaniem, załadunkiem i transportem. Ryzyko w zakresie IPR przechodzi na X z chwilą i skutkiem od daty Finalizacji.
(c) Przez okres 6 (sześciu) miesięcy od daty akceptacji (9 kwietnia 2003) Oferty X, lecz nie później niż 9 października 2003, X bezpłatnie dla X zabezpieczy i przechowa IPR znajdujące się na terytorium X w Lublinie.
(d) W następstwie Finalizacji X będzie mogła na własny koszt odebrać i w pełni korzystać z nabytych IPR.
(e) Celem uniknięcia wątpliwości, Oferta X i Formularz Akceptacji podpisany przez X dotyczą nabycia wszelkich praw, jakie X posiada w stosunku do IPR, włączając w to prawa, które X lub X mogły mieć, ale X zdaje sobie sprawę, że strony trzecie mogą posiadać jakieś prawa w stosunku do niektórych IPR, które wyraźnie nie są zawarte w Ofercie X. Oferta X dotyczy również wszelkich praw, które X posiada w stosunku do aktywów IPR projektu X.
(f) Aktywa IPR projektu X nabyte przez X nie zawierają IPR części i komponentów potencjalnie związanych z projektem X, które należą do dostawców, w tym także IPR do silnika rozwijanego przez X SpA z Włoch.
3. Oferta X na IPR:
(a) Oferta X na nabycie IPR opiewała na 4 miliony USD (cztery miliony dolarów amerykańskich) i taka Oferta została zaakceptowana przez X dnia 9 kwietnia 2003, płatna w następujący sposób:
i. Wadium IPR w wysokości 100 tysięcy USD (sto tysięcy dolarów amerykańskich), które zostało zwolnione na rzecz X z odnośnego rachunku powierniczego dnia 29 kwietnia 2003,
ii. Kwota 3,9 miliona USD (trzy miliony dziewięćset tysięcy dolarów amerykańskich) płatna na rzecz X w dniu Finalizacji.
4. X – inne zobowiązania:
(a) X zgadza się, że X zachowa bezpłatnie niewyłączną licencję na produkcję, montaż i sprzedaż w Polsce gotowych produktów X oraz ich pochodnych z zestawów KD dostarczanych przez X, a X wyraża niniejszym gotowość kooperacji w tym zakresie, co zostanie określone odrębną umową.
(b) X i X poczynią wszystkie rozsądne starania, aby uzgodnić w dobrej wierze warunki i terminy takiej licencji, jak tylko będzie to praktycznie możliwe po Finalizacji, ale nie później niż trzy miesiące od daty Finalizacji.
(c) Powodzenie bądź niepowodzenie którejkolwiek z tych aranżacji nie zwalnia żadnej ze stron z obowiązku Finalizacji z datą Finalizacji.
5. Zobowiązania X:
W następstwie Finalizacji X:
(a) Zapewni rozsądne wsparcie dla X w pozyskaniu IPR od stron trzecich, które mogą być w posiadaniu IPR lub ich części, oraz
(b) Zapewni dla X lub wyda następujące dokumenty lub upoważnienia, których kopie, dla ułatwienia identyfikacji, załączone są do niniejszej Umowy:
i. Pismo od X do wszystkich dostawców X informujące ich o zmianie właściciela programu X i związanych z nim aktywów.
ii. IPR zgodnie z definicją z Załącznika 3 do Oferty X z dnia 2 kwietnia 2003r.
6. GWARANCJE I OŚWIADCZENIA:
(a) Syndyk X gwarantuje i oświadcza, że posiada pełne i nieograniczone prawo do oferowania na sprzedaż IPR w imieniu X Sp. z o.o. (w upadłości) oraz, że te IPR zostały bezwarunkowo zwolnione przez Radę Wierzycieli X Sp. z o.o. (w upadłości) z wszelkich zastawów i obciążeń w Polsce oraz innych obciążeń, które są Radzie znane.
(b) Bez szkody dla postanowień 6 (a), X potwierdza celem uniknięcia wątpliwości, że jeżeli X nie posiada tytułu lub posiada obciążony tytuł do wszystkich bądź niektórych IPR, to nie będzie to stanowić podstawy do wycofania, unikania bądź zmiany jakiegokolwiek z postanowień niniejszej Umowy, a X nie będzie przysługiwać zwrot kwoty oferowanej przez X w całości bądź części, ani odszkodowanie lub rekompensata w tym zakresie.
(c) X potwierdza, że jeżeli z jakiegoś powodu X nie doprowadzi do sfinalizowania transakcji z datą Finalizacji, to X będzie miała prawo zatrzymać wadium na przetarg na IPR, a X potwierdza, że całkowita odpowiedzialność X w stosunku do X nie przekroczy kwoty wadium przetargu na IPR.
(d) X potwierdza, że X nie będzie zobowiązana do sfinalizowania tej Umowy na zakup IPR, jeżeli Umowa na zakup przez X wybranych aktywów M&E do projektu X od X nie zostanie sfinalizowana z datą Finalizacji.
(e) X potwierdza, że wszelkie zapewnienia, gwarancje i rękojmie przydatności do konkretnego celu lub kompletności w zakresie IPR lub ich części są wyraźnie wyłączone i IPR są sprzedawane w stanie „jak jest” w ich bieżącej lokalizacji.
7. FINALIZACJA:
(a) Finalizacja sprzedaży i zakupu IPR odbędzie się we Frankfurcie, Niemcy, w czwartek 31 lipca 2003 (data Finalizacji), a stosowne dokumenty lub upoważnienia podane w Artykule 5 (b) powyżej zostaną wydane z taką datą lub nie później niż 5 (pięć) dni kalendarzowych od daty Finalizacji.
(b) Umowa ta zostanie podpisana w imieniu X przez Pana, działającego na podstawie uprawnień nadanych mu przez Sąd Rejonowy w Lublinie VIII Wydział Gospodarczy, oraz Radę Wierzycieli X.
8. PŁATNOŚCI:
(a) Uzgodniona kwota całkowita należna od X za nabycie IPR wynosi 4 miliony USD (cztery miliony dolarów amerykańskich) i jest w całości płatna, odjąwszy kwotę już zapłaconą jako wadium przetargowe, w dniu Finalizacji.
(b) Wobec powyższego kwota płatna przez X w dniu Finalizacji wynosi 3,9 miliona USD (trzy miliony dziewięćset tysięcy dolarów amerykańskich) i kwota ta zostanie zapłacona w dniu Finalizacji na rachunek X. (dane rachunku bankowego zostaną podane).
(c) X wystawi faktury do X za sprzedaż aktywów w stosownej formie, a X upoważnia X do wystawienia takich faktur bez podpisu X.
9. WYDATKI I OPŁATY:
(a) Wszystkie kwoty określone w niniejszej Umowie jako płatne przez X na rzecz X nie zawierają podatku od towarów i usług, ani żadnego innego podatku czy opłaty od sprzedaży. X zgadza się zapłacić wszystkie podatki należne, które powstaną w wyniku sprzedaży i eksportu IPR, takie jak podatek od towarów i usług, opłaty celne, opłaty skarbowe i opłaty od sprzedaży. X nie będzie odpowiedzialna za podatek dochodowy od osób prawnych ani żaden inny podatek dochodowy, który może być pobrany od X w wyniku sprzedaży IPR.
(b) X zgadza się zwrócić X rozsądnie i faktycznie poniesione koszty przy przygotowaniu i kompletowaniu całości dokumentacji odnoszącej się do Oferty X oraz niniejszej Umowy, do maksymalnej wysokości 15.000 USD (piętnaście tysięcy dolarów amerykańskich) pod warunkiem, że zostanie dowiedzione, iż koszty te zostały poniesione w bezpośrednim związku ze sprzedażą i kupnem IPR.
10. WŁAŚCIWOŚĆ PRAWA I SĄDU:
(a) Prawem właściwym dla tej Umowy jest prawo Rzeczpospolitej Polskiej i została ona przygotowana w czterech egzemplarzach, po dwa w wersji polskiej i angielskiej. Wersja polska będzie wersją rozstrzygającą na wypadek różnic interpretacyjnych pomiędzy obydwoma wersjami językowymi.
(b) Sąd Arbitrażowy przy Krajowej Izbie Gospodarczej w Warszawie, zgodnie z zasadami tego Sądu, będzie sądem właściwym do rozstrzygania wszelkich sporów pomiędzy Stronami, których nie uda się rozwiązać polubownie, chyba że spór taki będzie związany z postępowaniem upadłościowym lub będzie w inny sposób podlegał jurysdykcji sądu upadłościowego.
NA DOWÓD POWYZSZEGO, niniejsza Umowa została poniżej podpisana przez należycie umocowanych przedstawicieli Stron z datą podaną na pierwszej stronie tej Umowy.
