1) Vendor’s performance shall be in accordance with these terms, dating and conditions. Any other terms in Vendor’s acceptance are rejected unless agreed to in writing and signed by CHAINS’ authorized representative.
2) In the event that Vendor does not accept any returns, CHAINS may ***build in a 3% defective charge*** into its yearly program, unless otherwise agreed upon by the parties.
