Case based on a clause in a contract which the plaintiff (Mr CCC below) says should have given him an "earn-out". The main part of the clause in question is given below. "Nous" is the the judges and this is part of their judgment in the appeal case.

"Nous relevons que Messieurs ... ont conclu le 10 septembre 2019 un protocole d'accord relatif à la cession à Monsieur AAA des actions de la société BBB détenues par Monsieur CCC, que cet accord stipule en son article 5 Réserve de comptes que « les Parties se réservent d'établir entre elles un compte relatif à l'activité de commercialisation de produit sanitaires au 23 août 2019 ; étant précisé que les invendus au 31 novembre 2019 seront considérés comme n'ayant aucune valeur», que le protocole ne comporte ni détail des informations à fournir, ni délai, ni sanction financière au profit d'une quelconque Partie, que dès lors les dispositions de l'article 5 revêtent un caractère purement informatif, dont la forme et le délai sont indéterminés, que seule la date limite de dépôt au greffe du tribunal de commerce des comptes annuels 2019 est susceptible d'être retenue, soit, en l'état, le 30 juillet 2020."

Elsewhere this clause is said to be "Réserves de compte" ["compte" singular] ... and there are other indications that the drafting of this contract may be a bit rubbish. So it could be that the title of this article is gibberish. Or that they meant something similar-sounding but more meaningful.

Compte de réserve(s) - (earnout) reserve account would, of course, be easier to translate.

Not finding anything in my own FRE/ENG accounting manuals, I have extrapolated inductively from the context as well as deductively from the French source text alluding to 'les Parties se réservent d'établir entre elles un compte..'

'So it could be that the title of this article is gibberish. Or that they meant something similar-sounding but more meaningful.' Rather the latter, pace my sharp-focus(s)ed French accountant friends back in London NW3.

I think that the restriction acceptance can be fit this translation.

Why?

Because it is said in the text that the value of of unsold products is nil after the date of November 31, 2019/31 November 2019. This is a restriction, because it runs afoul inventory valuation under IFRS or GAAP.

Under IFRS, inventories are measures at the lower cost and net realizable value. Net realizable value is the estimated selling price in the ordinary course of business less the estimated costs necessary to make the sale.
